Article 1 – Definitions
The following definitions apply throughout these Terms and Conditions:
- Cooling-off period: The period within which a consumer may exercise their right of withdrawal.
- Consumer: A natural person not acting in the course of a profession or business who enters into a distance contract with the entrepreneur.
- Day: A calendar day.
- Continuing performance contract: A contract involving a series of products and/or services delivered or performed over time.
- Durable medium: Any tool that allows the consumer or entrepreneur to store information in a manner that permits future access and unchanged reproduction.
- Right of withdrawal: The consumer’s legal right to cancel the distance contract within the cooling-off period.
- Entrepreneur: A natural or legal person who offers products and/or services remotely to consumers.
- Distance contract: An agreement concluded within an organized system for distance sales, using only remote communication technologies.
- Remote communication: A means of concluding an agreement without simultaneous physical presence of the entrepreneur and consumer.
- General Terms and Conditions: The current set of rules and agreements outlined by the entrepreneur.

Article 3 – Applicability
These Terms and Conditions apply to every offer, order, and distance contract between the entrepreneur and the consumer.
They will be provided to the consumer before the conclusion of any distance contract. If not reasonably possible, the consumer will be informed where the terms can be reviewed and how to receive a copy free of charge.
In the case of electronic transactions, the Terms may be provided digitally in a format that can be stored and retrieved. Where additional product or service-specific terms apply, the most favorable terms for the consumer will take precedence in case of conflict.
If any part of these Terms becomes invalid or void, the remainder shall remain in full effect. Unforeseen situations or ambiguities shall be interpreted "in the spirit" of these Terms.
Article 4 – The Offer
Offers with limited validity or special conditions will be clearly stated. All offers are non-binding and subject to modification.
Product/service descriptions will be accurate and complete. Images are illustrative and represent actual products, though variations may occur (e.g., color differences).
The offer includes full disclosure of the following:
- Total price (excluding customs/import VAT, where applicable)
- Shipping costs (if applicable)
- Steps required to conclude the agreement
- Return/withdrawal rights
- Payment, delivery, and contract performance terms
- Offer validity
- Cost of remote communication (if above standard rates)
- Whether the agreement is archived and accessible
- Language options
- Applicable codes of conduct
- Minimum duration for recurring transactions
Article 5 – The Agreement
The agreement is formed once the consumer accepts the offer and meets any related conditions.
For electronic orders:
- The entrepreneur will confirm receipt immediately.
- The entrepreneur will ensure secure data transfer and transaction processing.
The entrepreneur may assess the consumer’s ability to meet payment obligations. If there are legitimate reasons to reject the order, the entrepreneur may do so with justification.
The entrepreneur will supply the following details after conclusion:
- Business address for complaints
- Right of withdrawal (or its exclusion)
- Warranties and after-sales support
- Article 4 information (unless already provided)
- Contract duration and termination terms
Article 6 – Right of Withdrawal
Consumers may cancel their purchase within 30 days without providing a reason. The withdrawal period begins the day after receipt of the product.
During this period, consumers must handle the product with care and return it in its original condition, including all packaging and accessories, if they choose to cancel.
To initiate a return:
- Contact our customer service team at support@toys-sprout.com within 30 days of receipt.
- We will provide detailed return instructions along with the appropriate return address.
- Please note: Items returned without prior notification may not be processed or accepted.
Failure to comply with these timelines may result in forfeiting the right of withdrawal.
Article 7 – Costs of Withdrawal
Customers are responsible for return shipping costs unless the item is defective or incorrectly delivered.
Refunds are processed within 7 days of receiving and inspecting the returned item. All refunds are issued to the original payment method. You will receive a confirmation email once your refund is complete.
Article 8 – Exclusion of Withdrawal Rights
Withdrawal may be excluded for:
- Custom or personalized items
- Perishable goods
- Sealed items unsealed after delivery (e.g., hygiene or software products)
- Services delivered within the withdrawal period with consumer consent
Article 9 – Pricing
Prices are valid during the offer period. Price increases are only allowed:
- Due to VAT changes
- If explicitly stated and legally justified (within 3 months)
- With consumer cancellation rights (after 3 months)
Products shipped outside the EU may incur additional import duties or VAT upon delivery.
No liability is accepted for typographical errors or incorrect pricing.
Article 10 – Conformity and Warranty
Products/services will comply with the agreement, legal standards, and advertised specifications.
Consumers have legal rights beyond any offered warranties.
Report defects within 14 days. Products must be returned in unused, original condition.
Warranties do not apply if:
- Products were altered or misused
- Improper handling or non-compliance with instructions occurred
- Issues arise due to government regulations
Article 11 – Delivery and Fulfillment
Orders are processed with care and delivered to the address provided by the consumer.
Unless otherwise agreed, delivery occurs within 30 days. Delays will be communicated promptly, and the consumer may cancel the contract if fulfillment is not possible.
Replacement products will be clearly labeled, and return costs will be covered by the entrepreneur.
Risk transfers to the consumer upon confirmed delivery.
Article 12 – Duration Contracts
Termination:
- Consumers may terminate at any time with a notice period of no more than one month.
- Termination must be possible through the same means the agreement was entered.
Renewal:
- Fixed-term contracts will not be automatically renewed, except for newspapers/magazines (up to 3 months).
- Indefinite renewal is allowed if the consumer can terminate anytime with one month’s notice.
Duration:
Contracts longer than one year may be terminated after one year, unless otherwise agreed.
Article 13 – Payment
Unless otherwise agreed:
- Payments must be made within 7 business days of the withdrawal period starting.
- Consumers must report payment inaccuracies immediately.
- Reasonable late fees may apply if disclosed in advance.
Article 14 – Complaints Procedure
Complaints must be submitted within 7 days of identifying the issue.
They will be addressed within 14 days. If resolution requires more time, the entrepreneur will provide a timeline update.
Valid complaints may result in product replacement or repair at no cost.
Article 15 – Disputes
All agreements and disputes are governed exclusively by Dutch law, even if the consumer resides abroad.
Article 16 – CESOP
In accordance with the 2024 Payments Service Providers Directive, payment service providers may record transactions in the CESOP (Central Electronic System of Payment Information) database.
